Why Filing Deadlines Matter
The Secretary of State warns that failing to file a required Statement of Information can lead to penalties assessed by the Franchise Tax Board and to suspension or forfeiture. A suspended corporation or LLC can lose its rights, powers, and privileges in California, including the ability to sue or defend itself in court, until it is revived.
The first Statement of Information is due within 90 days after an entity is formed or registered. After that, each one is due in a six-month window that ends with the month the entity was formed (for an out-of-state entity, generally the month it registered in California). We file within the window so your entities stay current.
Since August 1, 2026, the Secretary of State requires User Access in bizfile Online for Statement of Information filings, so an entity may need to give its filer access first. We tell you what is needed when you order.

Secretary of State Filing Questions
What California Secretary of State filings do you handle?
We handle formations for corporations, LLCs, limited partnerships, and nonprofits; name reservations and amendments; Statements of Information; certificates of status and certified copies; registrations for out-of-state businesses; and dissolutions, cancellations, and withdrawals.
How much does a Secretary of State filing cost?
For law firms and legal departments, our fee per filing is $105 for Priority, $155 for Urgent, and $185 for On Demand. Parties without an attorney pay $175, $200, and $225. Filings over 50 pages are $0.50 for each additional page. State filing fees are paid in addition.
How fast is each service level?
The same as for our court filings. Priority filings are submitted by the next business day and Urgent filings the same day, when your order reaches us by our 1:00 PM Pacific deadline. On Demand submits the filing as soon as possible. After we submit, processing times are set by the Secretary of State.
How often do I need to file a Statement of Information?
Corporations file a Statement of Information every year, and LLCs and nonprofit corporations every two years. The first is due within 90 days after the entity is formed or registered, and each later one in a six-month window that ends with the month the entity was formed. Missing one can lead to penalties and suspension.
What happens if a business is suspended?
A suspended corporation or LLC can lose its rights, powers, and privileges in California, including the ability to sue or defend itself in court, until it is revived. Filing on time is the simplest way to avoid that.
Where do you file?
We file with the Secretary of State in Sacramento and in Los Angeles. Processing times after we submit are set by the Secretary of State and change with volume.
Can you get a certificate of status or certified copies?
Yes. We order certificates of status and certified copies of filed documents from the Secretary of State for court, banking, licensing, and transactions.
Can you register my out-of-state company in California?
